Terms & Conditions

Please review the conditions governing the use of VITALOS and its healthcare management services.

Effective Date: 22 October 2026  •  Website: vitalos.in

1. Acceptance and Scope

These Terms & Conditions govern use of the VITALOS website, hospital management software, hosted or on-premise deployments, mobile interfaces, support services and other enabled modules (the “Services”). By using the Services, the subscribing hospital, its authorized representatives and individual users agree to these Terms and any applicable signed agreement. A hospital service agreement takes precedence over conflicting general website terms to the extent expressly specified.

2. Platform and Authorized Users

VITALOS provides software tools for hospital operations, including outpatient and inpatient administration, appointments, doctor and nursing workflows, medical records, laboratory, radiology, pharmacy, inventory, billing, reporting, user management and related functions where enabled. The subscribing healthcare institution is responsible for authorizing its employees, doctors, clinicians, administrators and other users, and for removing access when it is no longer required.

3. Clinical Decisions and Patient Safety

VITALOS is an information technology platform, not a licensed healthcare provider and not a replacement for professional medical judgment. Diagnosis, prescriptions, treatment, medicine dispensing, test interpretation, emergency response and patient care decisions remain the responsibility of appropriately qualified healthcare professionals and the hospital. Users must independently verify any clinical, medication or billing information before acting on it.

4. Account Security and Permissions

Users must provide accurate account information, keep credentials confidential, enable available security controls and promptly report suspected compromise. Hospitals must configure and periodically review roles, permissions, access to health information and staff accounts. Users may access patient or financial records only as required for authorized duties and applicable law.

5. Hospital Data and Records

Patient, clinical, financial and administrative records entered into the Services remain subject to applicable legal rights and the hospital’s lawful control, together with any relevant data processing agreement. VITALOS does not acquire ownership of patient records merely by hosting or processing them. The hospital is responsible for lawful collection, accuracy, professional recordkeeping, required notices and consents, corrections and legally mandated preservation.

6. Pharmacy, Billing and Insurance

Hospitals are responsible for establishing rates, applicable taxes, discounts, cash and credit policies, insurer/TPA arrangements, medicine sale and dispensing controls and compliant invoicing. VITALOS may facilitate records and calculations, but the hospital must verify amounts, claims, prescriptions, stock, batch and expiry records and other transactions. External payment gateways, insurers and other connected services may apply their own terms.

7. Integrations and Compliance

Features described as ABDM-, HL7-, FHIR- or NABH-ready are technology capabilities or integration objectives and do not automatically constitute certification, accreditation, statutory approval or compliance by a hospital. Each customer must assess and implement applicable requirements and third-party agreements before activating integrations.

8. Acceptable Use

Users must not access records without authorization; disclose patient information improperly; upload malware; tamper with medical, financial or audit records; bypass controls; scrape data; or use the Services unlawfully. Users must not delete or falsify regulated records to conceal activity. We may proportionately suspend access when necessary to address significant security threats or misuse.

9. Subscription, Fees and Availability

Subscription, onboarding, hosting, maintenance, support, cancellation and refund obligations are governed by the customer’s commercial agreement. We use reasonable efforts to maintain availability, but scheduled maintenance, connectivity interruptions and third-party outages may occur. Hospitals must maintain appropriate continuity and emergency procedures for care delivery during outages.

10. Confidentiality and Security

Parties must protect confidential medical, business and technical information according to applicable law and contracts. VITALOS will apply reasonable technical and organizational measures appropriate to its processing role and contracted service; no system can guarantee absolute security.

11. Intellectual Property

VITALOS software, design, documentation, branding and related intellectual property belong to their respective owners. Customers receive only the access and use rights stated in their agreement. Hospital and patient content is not transferred to VITALOS by this provision.

12. Third Parties

Hosting, messaging, payment, diagnostic, government-platform and other integrations may be supplied by third parties. Availability, additional terms and independent processing practices may apply. We do not control third-party clinical or operational decisions.

13. Disclaimer and Liability

Except for commitments explicitly made in an applicable agreement or required by law, the Services are provided without guarantees of uninterrupted performance or error-free results. Liability allocations and caps, where lawful, are governed by the applicable contract. Nothing excludes liabilities or rights that cannot legally be limited, including responsibility for fraud or other non-excludable conduct.

14. Suspension and Termination

Upon lawful termination or suspension, access may be revoked under the applicable contract. Export, transition, retention or deletion of hospital data will be handled in accordance with the service agreement, our Privacy Policy, the Account Deletion Policy and applicable legal retention requirements.

15. Governing Law and Disputes

Indian law governs these Terms. Subject to mandatory statutory rights and any applicable written dispute resolution agreement, disputes are to be heard by courts of competent jurisdiction as determined under Indian law. No specific exclusive venue is asserted without confirmation of the contracting entity and agreement.

16. Updates and Contact

We may update these Terms to reflect changes in law, features or service arrangements, with required notice and consent where applicable. For questions, contact VITALOS at info@vitalos.in. Location: Ahmedabad, Gujarat, India. The contracting legal entity and registered address should be identified in the signed customer agreement.
